1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the BuildHub platform, website (getbuildhub.com), and related services (together, the "Platform") operated by BuildHub Digital Ltd, a company registered in England and Wales under Company No. 17187064, with its registered office at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ ("BuildHub", "we", "us", "our").

By creating an account or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and BuildHub. We encourage you to read them carefully. If you have questions, contact us at info@getbuildhub.com.

2. Definitions

In these Terms, the following words have the meanings set out below:

• "Account" means the account you create to access the Platform.
• "Builder" means any construction contractor, sole trader, or building firm using the Platform to manage projects.
• "Homeowner" means a client or end-customer granted access to a project portal by a Builder.
• "User" means any individual accessing the Platform, whether as a Builder, Homeowner, team member, or other participant.
• "Content" means all text, data, images, documents, and other materials uploaded or created through the Platform.
• "Subscription" means the paid tier of access to the Platform.
• "Free Tier" means the no-cost access level to the Platform, subject to usage limits.

3. Our Services

BuildHub is a digital platform designed to help UK builders and construction companies manage projects, communicate with clients, track variations and payments, and store documents securely. BuildHub operates as a digital facilitator: we provide tools and infrastructure to support your business operations, but we are not a party to any contract, engagement, or transaction between a Builder and a Homeowner or any other third party.

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time. Where reasonably practicable, we will provide advance notice of material changes.

BuildHub is a platform tool only. We do not provide legal, financial, architectural, structural, or professional advice of any kind. Any documents, templates, quotes, or AI-generated outputs produced through the Platform are starting points only. You are solely responsible for reviewing, verifying, and relying on any such outputs.

4. Account Registration

To access the Platform, you must register for an Account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your login credentials confidential and secure;
• Be at least 18 years of age;
• Not register on behalf of a legal entity unless you have the authority to bind that entity to these Terms.

By registering for an Account, you represent and warrant that all information you provide is accurate and that you have the right to use the Platform.

5. User Accounts

You are responsible for all activity that occurs under your Account. You must keep your password secure and must not share your login credentials with any other person. You must notify us immediately at info@getbuildhub.com if you suspect unauthorised access to your Account.

We reserve the right to suspend or terminate Accounts where we have reasonable grounds to believe that credentials have been compromised, misused, or shared in violation of these Terms.

BuildHub Builders may invite team members and Homeowners to participate in their projects. As a Builder, you are responsible for the conduct of any individuals you invite and for ensuring that their use of the Platform complies with these Terms.

6. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

• Upload or transmit Content that is unlawful, harmful, fraudulent, defamatory, obscene, or otherwise objectionable;
• Attempt to gain unauthorised access to any part of the Platform, or to any other system or network connected to the Platform;
• Use the Platform to transmit unsolicited commercial communications (spam);
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;
• Introduce malicious code, viruses, or other harmful materials into the Platform;
• Use automated tools to scrape, index, or extract data from the Platform without our written consent;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Use the Platform in any way that could damage, disable, overburden, or impair its operation.

We reserve the right to investigate and take appropriate action against any User who, in our sole determination, violates this section, including removing Content, suspending access, and reporting to law enforcement authorities.

7. Intellectual Property

BuildHub's intellectual property: The Platform and all content, features, functionality, branding, design, software, and technology forming part of it are owned by BuildHub Digital Ltd and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for the purpose set out in these Terms.

Your Content: You retain full ownership of all Content you upload or create using the Platform. By uploading Content, you grant BuildHub a limited licence to store, process, and display that Content solely for the purpose of providing the Platform services to you.

AI-generated outputs: Where you use the Platform's AI features to generate content (such as client updates, quotes, or draft documents), the output is provided for your review and use. You are responsible for reviewing AI-generated content before relying on or sending it.

8. Fees and Payment

BuildHub offers a permanent Free Tier (currently limited to one live project) and paid Subscription plans. Current pricing is published at getbuildhub.com/pricing.

Where you subscribe to a paid plan:

• Payments are processed securely via Stripe, a third-party payment processor. You agree to Stripe's terms of service.
• Subscription fees are billed in advance on a monthly or annual basis as selected at the time of subscription.
• We reserve the right to change our fees on reasonable notice. Where fees increase, you will be notified at least 30 days in advance.
• Refunds are not provided for partial subscription periods unless required by applicable law.
• If payment fails and is not remedied within 7 days, we may suspend your access to paid features until payment is resolved.

BuildHub charges a flat subscription fee only. We do not take any commission, leads fee, or percentage of any transaction between a Builder and a Homeowner or any other third party.

9. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the processing of your personal data as described in the Privacy Policy.

You are responsible for ensuring that any personal data of third parties (including your clients) that you process through the Platform is handled in accordance with applicable data protection laws, including UK GDPR. As a Builder, you act as a data controller in respect of your clients' data, and BuildHub acts as a data processor on your behalf to the extent necessary to provide the Platform services.

You warrant that you have a lawful basis for any personal data you upload to or process through the Platform.

10. Disclaimers and Limitation of Liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by applicable law, BuildHub disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

BuildHub does not warrant that:

• The Platform will be uninterrupted, error-free, or secure at all times;
• Any information obtained through the Platform will be accurate or reliable;
• Defects or errors in the Platform will be corrected.

To the maximum extent permitted by applicable law, BuildHub's total liability to you for any claim arising out of or related to these Terms or your use of the Platform shall not exceed the greater of (a) the total Subscription fees paid by you in the 12 months preceding the claim, or (b) £100.

BuildHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, loss of business, or loss of goodwill, even if BuildHub has been advised of the possibility of such damages.

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable UK law.

11. Termination

You may terminate your Account at any time by contacting us at info@getbuildhub.com or through the account settings within the Platform (where available).

We may suspend or terminate your access to the Platform at any time if:

• You breach any provision of these Terms;
• We are required to do so by law or a regulatory authority;
• Your account poses a security risk to the Platform or other Users;
• You fail to pay applicable Subscription fees.

Upon termination, your right to access the Platform ceases. We will retain your data in accordance with our Privacy Policy and applicable data retention obligations. You may request export of your data before or promptly following termination by contacting info@getbuildhub.com.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email (to the address on your Account) or by prominent notice on the Platform, at least 14 days before the changes take effect.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may terminate your Account.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this clause affects your rights as a consumer under applicable consumer protection law.
